Fink joins CVS Health as senior vice president

Former American Express executive Kristina Fink has joined CVS Health as its new senior vice president, corporate secretary and chief governance officer, according to a LinkedIn post.

Fink served as vice president, corporate secretary and chief governance officer at American Express. During her seven-year tenure there, she led a team providing governance support to the American Express National Bank, its committees and global subsidiaries. Fink was also a member of the leadership team of the General Counsel's Organization and the company's ESG Steering Committee.

Prior to her time at American Express, Fink served as assistant corporate secretary at the Guardian Life Insurance Company of America. Before that, she worked as a senior associate at Clifford Chance US for six years, specializing in corporate governance advice, company periodic reports and securities offerings within the Capital Markets group.

She began her legal career as an in-house securities lawyer at Bear Stearns, where she worked for five years.

WHAT'S THE IMPACT?

On CVS Health's website, the company said Fink is an advisor and resource to the CVS Health Board of Directors and to senior management, providing counsel on board responsibilities and corporate governance matters. She engages with investors on governance-related issues and oversees the annual proxy statement process.

Fink also provides legal oversight for corporate and securities matters, including SEC and NYSE compliance, as well as legal support for treasury, corporate finance, compensation and benefits.

She's also the secretary and treasurer of the Shareholders Relations Society, a member of the Advisory Board, the immediate past president of the New York Chapter of the Society of Corporate Governance Professionals, and an active participant in several other governance groups and forums.

Fink grew up in Westchester County, New York, and graduated from Tulane University cum laude, majoring in history. She graduated from Brooklyn Law School, where she served as an articles editor of the Journal of Law and Policy.

THE LARGER TREND

Fink's appointment comes months after CVS Health named Tom Cowhey as permanent chief financial officer in January.

In October former CFO and president of health services Shawn Guertin took a leave of absence from his role due to what the company said were unforeseen family health reasons. Guertin had been in his role as executive vice president, president and CFO since May 2021.

Cowhey joined CVS Health in February of 2022. He previously served as CFO of Surgery Partners Inc., and before that spent more than a decade at Aetna – which has been part of CVS since 2018 – in various strategy and finance roles.
